A successful company is always the one which changes itself to its new needs; especially in a foreign country like China. Whether you need to change some items of the company, for example, the name, residence, legal representative or scope of business, you need to notice some specifications.

Besides for the necessary documents a limited liability company should submit, the following eight specifications for each change are:

1. Changing of the name
A company which changes its name should apply for name pre-approval before making registration of change within 30 days. The changed name which does not include the name of the administrative division will undergo inquiry or be submitted for approval.

2. Changing of domicile
You will need to apply for registration of change within thirty days from the date it moves to the new domicile and submit the certificate of using the new domicile.

3. Changing of legal representatives
Documents of tenure of office and identity certificate of the new legal representative and the documents of dismissing of the former legal representative should be summated within one month.

4. Changing of registered capital
For changing the registered capital, you should submit the investment verification certificate issued by a legally authorized investment verification authority in China. On increasing the capital, you need to apply for registration of change from the date of paying in full share funds; on reducing the capital, the company shall publish the company public notices of reducing registered capital on a newspaper three times, all the time limits are 30 days.

5. Changing of scope of business
As to items of changing the scope of business that must go through examining and approving because of the involvement of law and regulations of administrative law, the company should apply for registration of change within 30 days from the date of relevant department approving.

6. Changing of form shall
A company which changes its form shall, in accordance with the establishment requirements of the company, and the form of the company to which the company intends to change, apply for registration of change with the company registration authority within a prescribed period of time, submitting relevant documents.

7. Changing of Shareholders
From the date of the shareholders changing, the company should submit the related resolutions of shareholders’ meetings, agreements of transfer of shares, the amended articles of association and legal person qualification certificates of the new shareholders or the identity certificates of natural persons, and in one month too.

When its shareholders change names, the company shall also apply for registration of change within thirty days from the date of the names changing.

8. Changing of company articles
Where the amendment of company articles of association does not relate to the registered items, it shall submit its amended articles of association or its amendment of articles of association to the original company registration authority for record.
